These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Altx Convergence Private Limited (“Altx,” “we,” “us,” or “our”) governing your access to and use of the Notifyce platform, including all related websites (altxone.ai, automation.altxone.ai), applications, services, and products (collectively, the “Services”).
1. Description of Services
Notifyce is an AI-powered tax-notice and compliance dashboard built primarily for Chartered Accountants, tax professionals, and compliance managers. Our Services include:
- Automated retrieval of statutory notices from Indian government portals (GST, ROC, TDS, Income Tax) by logging into client accounts.
- AI extraction of amounts, assessment years, sections, deadlines, and required documentation.
- AI-generated legal responses with case-law and precedent citations.
- Multi-client dashboard, deadline tracking, real-time alerts, daily digest emails.
- Client-collaboration portal where end-clients log in and respond to queries.
2. Account Registration and Security
2.1 Account Creation
To access the Services, your firm must create an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Be at least 18 years of age and authorised to act on behalf of the firm.
2.2 Account Security
You are responsible for all activities that occur under your account. You must notify us immediately at security@altx.one if you become aware of any unauthorised use of your account or any other breach of security. We will not be liable for any loss or damage arising from unauthorised access to your account.
2.3 Team Accounts
If you administer a team or organisation account, you are responsible for ensuring that all team members comply with these Terms. You may not provision accounts for individuals under 18.
3. License Grant and Restrictions
3.1 License Grant
Subject to your compliance with these Terms, Altx grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal professional and business purposes during the applicable subscription term.
3.2 Restrictions
You agree not to:
- Copy, modify, or create derivative works of the Services.
- Reverse engineer, disassemble, or decompile any part of the Services.
- Sell, resell, sublicense, rent, lease, or distribute the Services.
- Access the Services through automated means (bots, scrapers) without authorisation.
- Circumvent any access restrictions or security measures.
- Use the Services to compete directly with Altx.
- Remove or alter any proprietary notices or labels.
4. CA Firm Warranty — End-Client Data and Portal Credentials
- You have an existing engagement letter with the end-client that authorises you to act on their behalf for the tax-compliance matter.
- You hold a Power of Attorney, an authorisation letter, or an equivalent lawful basis to share the end-client's personal data (PAN, GSTIN, TAN, notice content, etc.) and government-portal login credentials with Altx for the purposes set out in our Privacy Policy.
- You have provided the end-client with the information required under DPDPA Section 5 and obtained any consent required under DPDPA Section 6, prior to sharing the data with Altx.
- You will respond to your end-client's Data Principal rights requests (Sections 11–14 DPDPA) within the timelines required by law; you remain the Data Fiduciary for that data, with Altx acting as your Data Processor.
5. Acceptable Use Policy
5.1 Prohibited Content
You may not use the Services to collect, store, or transmit content that:
- Is illegal, fraudulent, defamatory, or infringes third-party rights.
- Contains viruses, malware, or other harmful code.
- Promotes violence, discrimination, or illegal activities.
- Violates any applicable laws or regulations.
5.2 Prohibited Activities
You may not:
- Send unsolicited communications, spam, or chain letters through the Services.
- Engage in phishing, scamming, or social-engineering attacks.
- Interfere with or disrupt the Services or other users' use.
- Attempt to gain unauthorised access to any systems or networks.
- Use the Services to harvest or collect personal information without consent.
- Impersonate any person or entity or misrepresent your affiliation.
- Use the Services in a way that violates any tax-professional ethical code or your professional registration body's rules of conduct.
5.3 Enforcement
We reserve the right to investigate violations of this Acceptable Use Policy and take appropriate action, including suspending or terminating your access to the Services, removing content, and reporting violations to law-enforcement authorities and regulators.
6. Customer Data and Privacy
6.1 Data Ownership
You retain all right, title, and interest in and to the data you submit to the Services (“Customer Data”), including your firm's data and your end-clients' data. Altx does not claim ownership of your Customer Data.
6.2 License to Customer Data
You grant Altx a limited, worldwide, royalty-free license to use, process, store, and transmit your Customer Data solely to: (a) provide the Services to you; (b) improve and maintain the Services (aggregated and de-identified data only); and (c) comply with applicable laws. We will not sell your Customer Data to third parties or use it for advertising purposes without your explicit consent.
6.3 Data Protection
We implement industry-standard security measures to protect your Customer Data, including encryption in transit (TLS 1.2+) and at rest (AES-256 via AWS KMS). Our data-protection practices are described in our Privacy Policy and the Data Processing Agreement available from our DPO, which are incorporated herein by reference.
6.4 CERT-In Co-Operation
On any cyber-security incident affecting the Services, you agree to co-operate with our reporting obligations to the Indian Computer Emergency Response Team (CERT-In) under the directions of April 2022, including responses to information requests within the 6-hour reporting window.
6.5 Data Retention and Portability
Upon termination of your account, you will have a 90-day grace period during which you may export your Customer Data. After this period, we will delete your data in accordance with our published Data Logs & Retention Policy, subject to any longer statutory retention that applies (e.g., billing records under the Income Tax Act). You may request data export at any time during your subscription.
7. Artificial Intelligence Features
7.1 AI-Powered Services
The Services include AI-powered features such as notice analysis, AI-generated draft responses, AI Q&A pairs, and case-law citations (“AI Features”). These features use machine-learning models to assist you.
7.2 AI Limitations
7.3 AI Data Usage
We may use aggregated, anonymised, and de-identified data to improve our AI Features. We do not use your identifiable Customer Data or end-client data to train third-party AI models without your explicit consent.
7.4 Third-Party AI Providers
AI Features utilise third-party AI service providers (Anthropic Claude as primary; OpenAI and Google Gemini as alternates). When using such features, your data is processed by these providers in accordance with their privacy policies and our Data Processing Agreements with them. Current providers are listed at /sub-processors.html.
8. Intellectual Property
8.1 Altx Intellectual Property
The Services, including all software, designs, text, graphics, interfaces, and other content (excluding Customer Data), are owned by Altx or its licensors and are protected by intellectual property laws. All rights not expressly granted herein are reserved.
8.2 Trademarks
“Notifyce,” “altx,” the altx logo, and other Altx marks are trademarks of Altx. You may not use our trademarks without prior written consent.
8.3 Feedback
If you provide suggestions, ideas, or feedback about the Services (“Feedback”), you grant Altx a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.
9. Payment and Billing
9.1 Fees
Subscription fees are specified at sign-up or in your order form. All fees are in Indian Rupees and are exclusive of applicable taxes (GST) unless otherwise stated.
9.2 Billing
Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified. You authorise us to charge your designated payment method for all applicable fees. You are responsible for keeping your payment information current.
9.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will notify you of any fee changes at least thirty (30) days in advance.
9.4 Refunds
Except as required by applicable law or as explicitly stated in these Terms, all fees are non-refundable. If you downgrade or cancel your subscription, you will not receive a refund for any unused portion of your current billing period.
9.5 Taxes
GST and any other applicable Indian taxes are charged on top of subscription fees in accordance with the applicable law. You are responsible for any other taxes, duties, or governmental assessments arising from your use of the Services, except for taxes based on Altx's net income.
10. Service Levels and Availability
10.1 Uptime Commitment
Altx commits to maintaining 99.5% availability of the Services during each calendar month (“Uptime Commitment”), excluding scheduled maintenance and circumstances beyond our reasonable control. Government-portal automation availability is dependent on the relevant government portal's availability and is subject to additional limitations beyond our control.
10.2 Scheduled Maintenance
We will provide at least forty-eight (48) hours' notice of scheduled maintenance that may affect Service availability, except for emergency maintenance required to protect the security or integrity of the Services.
10.3 DPDPA Compliance SLA
Our service levels for Data Principal rights, breach notification, and DPO services are published separately in our DPDPA Compliance SLA. Headline commitments: acknowledge every Data Principal request within 48 hours; respond substantively within 30 days; notify the Data Protection Board of India under Rule 7 within 6 hours of detection for Critical incidents and 24 hours for High.
10.4 Support
Support availability and response times vary by subscription plan. Details are available on our pricing page and in your service agreement.
11. Warranties and Disclaimers
11.1 Limited Warranty
Altx warrants that the Services will perform substantially in accordance with the applicable documentation during your subscription term. Your sole remedy for breach of this warranty is repair, replacement, or, at our option, a refund of prepaid fees for the affected Services.
11.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN SECTION 11.1, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ALTX SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11.3 Professional Judgement
The Services are tools that assist you in your professional work. They are not a substitute for the professional judgement, ethical responsibility, or statutory duties that you owe to your end-clients and to the relevant tax authorities. Altx is not engaged in the practice of chartered accountancy, law, or tax advisory; we provide software and AI tools that you use under your own professional licence.
12. Limitation of Liability
12.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALTX OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ALTX DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12.3 Exceptions
The limitations in this Section 12 do not apply to: (a) either party's indemnification obligations; (b) your payment obligations; (c) either party's breach of confidentiality obligations; (d) regulatory penalties imposed by the Data Protection Board of India or any other Indian regulator that are directly caused by Altx's breach of the DPDPA; or (e) claims arising from a party's gross negligence or wilful misconduct.
13. Indemnification
13.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Altx and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Customer Data, including your end-clients' data; (c) your breach of the warranty in Section 4 (CA Firm Warranty); (d) your violation of these Terms; (e) your violation of any applicable law or third-party rights.
13.2 Altx Indemnification
Altx will indemnify, defend, and hold harmless you from and against any third-party claims alleging that the Services infringe such third party's intellectual property rights, and will pay any resulting damages finally awarded against you or settlement amounts approved by Altx. This indemnification does not apply to claims arising from: (a) your modification of the Services; (b) your combination of the Services with other products or services; or (c) your use of the Services in violation of these Terms.
14. Term and Termination
14.1 Term
These Terms are effective when you first access or use the Services and continue until terminated. For paid subscriptions, the subscription term is specified in your order or subscription agreement.
14.2 Termination by You
You may terminate your account at any time through your account settings or by contacting support. For paid subscriptions, termination will take effect at the end of your current billing period unless otherwise specified.
14.3 Termination by Altx
Altx may suspend or terminate your access to the Services immediately if: (a) you breach these Terms; (b) your use poses a security risk to the Services or other users; (c) your account is overdue for more than thirty (30) days; (d) we receive a credible report that you are using the Services in violation of a professional ethics code, tax law, or other applicable law; or (e) required by law. We may also terminate your account for convenience upon thirty (30) days' written notice.
14.4 Effect of Termination
Upon termination: (a) your right to use the Services will immediately cease; (b) you will lose access to your account and data after the 90-day grace period; (c) you will pay any outstanding fees; and (d) Sections 4 (CA Firm Warranty), 6 (Customer Data), 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
Before initiating any formal dispute resolution, you agree to contact us at legal@altx.one and attempt to resolve any dispute informally for at least thirty (30) days. Any dispute that cannot be resolved informally will be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996; the seat of arbitration is Bengaluru; the language is English; the arbitrator is a sole arbitrator appointed by mutual agreement.
16. Changes to Terms
We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email or through the Services at least thirty (30) days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and may terminate your account in accordance with Section 14.2.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, the Data Processing Agreement (available from our DPO), and any applicable order forms, constitute the entire agreement between you and Altx regarding the Services and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Altx.
17.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Altx may assign these Terms without restriction. These Terms will bind and inure to the benefit of the parties' permitted successors and assigns.
17.5 Force Majeure
Neither party will be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages.
17.6 Notices
All notices to Altx must be sent to legal@altx.one or to our postal address. Notices to you will be sent to the email address associated with your account.
